{"id":13189,"date":"2018-10-23T17:34:18","date_gmt":"2018-10-23T21:34:18","guid":{"rendered":"https:\/\/staging.schneiderlegal.com\/fr\/?p=13189"},"modified":"2018-10-24T18:03:40","modified_gmt":"2018-10-24T22:03:40","slug":"dommages-moraux-pour-troubles-et-inconvenients-attribues-a-une-personne-morale","status":"publish","type":"post","link":"https:\/\/staging.schneiderlegal.com\/fr\/2018\/10\/23\/dommages-moraux-pour-troubles-et-inconvenients-attribues-a-une-personne-morale\/","title":{"rendered":"Dommages moraux pour troubles et inconv\u00e9nients attribu\u00e9s \u00e0 une personne morale"},"content":{"rendered":"<p><strong>SUJET<\/strong><\/p>\n<p>Dommages moraux pour troubles et inconv\u00e9nients octroy\u00e9s \u00e0 une soci\u00e9t\u00e9 par actions dans le cadre d\u2019une relation locateur-locataire.<\/p>\n<p><strong>INTRODUCTION<\/strong><\/p>\n<p>Il n\u2019est pas rare qu\u2019un tribunal accorde des dommages moraux \u00e0 une personne morale pour une atteinte \u00e0 la r\u00e9putation.<\/p>\n<p>Cependant, les tribunaux n\u2019accordent pas de dommages-int\u00e9r\u00eats \u00e0 une personne morale pour compenser les troubles et inconv\u00e9nients, hormis lorsqu\u2019il s\u2019agit de compenser la r\u00e9mun\u00e9ration suppl\u00e9mentaire vers\u00e9e \u00e0 ses employ\u00e9s \u00e0 l\u2019occasion d\u2019un litige (voir \u00a0Services de taxi Nord-Est (1978) inc. (Taxis Moderne) c. Dor,\u00a0<a href=\"https:\/\/www.canlii.org\/fr\/qc\/qccq\/doc\/2009\/2009qccq1040\/2009qccq1040.html\">2009 QCCQ 1040 (CanLII)<\/a>, paragraphe 29 de la d\u00e9cision).<\/p>\n<p>Mais qu\u2019en est-il lorsque les agissements de la partie fautive sont suffisamment graves?<\/p>\n<p>Dans la d\u00e9cision <em>9004-2243 Qu\u00e9bec inc. c. Centre sportif\u00a0St-Eustache\u00a0inc. et Jean-Guy Mathers<\/em>, l\u2019Honorable Robert Mongeon, J.C.S., disant \u00ab\u00a0[n\u2019avoir] jamais rien vu de tel \u00bb et entendant \u00ab\u00a0mettre un terme \u00e0 cette malheureuse histoire \u00bb, condamne les D\u00e9fendeurs \u00e0 payer \u00e0 la Demanderesse des dommages moraux \u00e0 la hauteur de 35 000,00$ pour troubles et inconv\u00e9nients.<\/p>\n<p><strong>I\u2013 LES FAITS<\/strong><\/p>\n<p>En 1994, la Demanderesse 9004-2243 Qu\u00e9bec Inc., propri\u00e9t\u00e9 des fr\u00e8res Farsa, loue\u00a0un local dans le Centre Sportif\u00a0St-Eustache\u00a0Inc., pour l\u2019op\u00e9ration d\u2019un restaurant, la \u00ab\u00a0Casa Farsa\u00a0\u00bb. \u00c0 l\u2019\u00e9poque, le Centre Sportif St-Eustache\u00a0Inc. est la propri\u00e9t\u00e9 de deux actionnaires, MM. Guy B\u00e9lisle et Sylvain Descoteaux.\u00a0Le local se situe \u00e0 un emplacement de choix \u00e0 l\u2019avant de l\u2019immeuble.<\/p>\n<p>Le terme est de cinq ans, avec options de renouvellement pour deux p\u00e9riodes additionnelles de cinq ans, jusqu\u2019au 30 avril 2009.<\/p>\n<p>En 1998, le Centre Sportif\u00a0St-Eustache\u00a0Inc. devient la propri\u00e9t\u00e9 du Groupe Mathers dont le principal actionnaire est le D\u00e9fendeur Jean-Guy Mathers.<\/p>\n<p>Une fois que le Centre Sportif\u00a0St-Eustache\u00a0Inc. passe aux mains du Groupe Mathers, la relation entre la Demanderesse et les D\u00e9fendeurs se d\u00e9t\u00e9riorent, en raison de man\u0153uvres illicites de la part de Jean-Guy Mathers et de ses employ\u00e9s \u00e0 l\u2019endroit des fr\u00e8res Farsa, plus pr\u00e9cis\u00e9ment\u00a0:<\/p>\n<ul>\n<li>menaces et intimidations;<\/li>\n<li>incendie criminel dont les pr\u00e9somptions graves, pr\u00e9cises et concordantes portent \u00e0 croire qu\u2019il a \u00e9t\u00e9 orchestr\u00e9 par M. Jean-Guy Mathers et ses employ\u00e9s;<\/li>\n<li>multiples faits et gestes visant \u00e0 nuire ou emp\u00eacher l\u2019op\u00e9ration du restaurant; et<\/li>\n<li>nombreuses demandes en justice pr\u00e9sent\u00e9es par les D\u00e9fendeurs contre la Demanderesse et les fr\u00e8res Farsa entre 1999 et 2004 dans le but d\u2019\u00e9puiser financi\u00e8rement ces derniers et ainsi mettre fin \u00e0 l\u2019aventure commerciale de la Demanderesse.<\/li>\n<\/ul>\n<p>En fait, le Centre Sportif et son principal dirigeant, Jean-Guy Mathers, avaient pour objectif officieux de prendre le contr\u00f4le du local lou\u00e9 par la Demanderesse pour y installer leur propre restaurant.<\/p>\n<p><strong>II\u2013 LES DOMMAGES ALL\u00c9GU\u00c9S PAR LA DEMANDERESSE<\/strong><\/p>\n<p>Pour l\u2019ensemble des faits et gestes des D\u00e9fendeurs, la Demanderesse all\u00e8gue avoir subi les dommages suivants\u00a0:<\/p>\n<table>\n<tbody>\n<tr>\n<td 106,53$<\/td>\n<\/tr>\n<tr>\n<td width=\"378\">Troubles, inconv\u00e9nients et perte de jouissance<\/td>\n<td width=\"90\">100 000,00$<\/td>\n<\/tr>\n<tr>\n<td width=\"378\">Honoraires professionnels<\/td>\n<td width=\"90\">166 000,00$<\/td>\n<\/tr>\n<tr>\n<td width=\"378\">Dommages punitifs<\/td>\n<td width=\"90\">250 000,00$<\/td>\n<\/tr>\n<tr>\n<td width=\"378\"><strong>TOTAL<\/strong><\/td>\n<td width=\"90\"><strong>933\u00a0684,53$<\/strong><\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p><strong>III\u2013 LES TROUBLES, INCONV\u00c9NIENTS ET PERTE DE JOUISSANCE DE LA DEMANDERESSE<\/strong><\/p>\n<p>D\u2019entr\u00e9e de jeu, le juge Mongeon affirme qu\u2019il y a lieu de distinguer les troubles et inconv\u00e9nients subis par la Demanderesse de ceux subis par les fr\u00e8res Farsa, car ceux-ci ne sont pas parties \u00e0 la demande en justice malgr\u00e9 qu\u2019ils ont aussi \u00e9t\u00e9 les victimes des man\u0153uvres des D\u00e9fendeurs.<\/p>\n<p>De plus, le juge Mongeon affirme que, m\u00eame si les tribunaux ne sont g\u00e9n\u00e9ralement pas dispos\u00e9s \u00e0 indemniser les soci\u00e9t\u00e9s par actions pour des dommages moraux flous comme les \u00ab\u00a0troubles et inconv\u00e9nients\u00a0\u00bb, une soci\u00e9t\u00e9 par actions peut tout de m\u00eame en \u00eatre indemnis\u00e9e.<\/p>\n<p>D\u2019une part, les D\u00e9fendeurs ont multipli\u00e9 les recours judiciaires contre la Demanderesse, l\u2019\u00e9puisant ainsi financi\u00e8rement et lui imposant une pression constante d\u2019\u00eatre interpell\u00e9e en justice.<\/p>\n<p>D\u2019autre part, la Demanderesse a subi les faits et gestes ill\u00e9gaux, criminels et d\u00e9lib\u00e9r\u00e9s des D\u00e9fendeurs, perdant ainsi son restaurant, ses revenus, sa capacit\u00e9 de payer les salaires de ses actionnaires, bref \u00ab\u00a0elle s\u2019est vue totalement priv\u00e9e de sa raison d\u2019\u00eatre \u00bb.<\/p>\n<p>Tout compte fait, la Demanderesse s\u2019est vue priv\u00e9e de ses droits pr\u00e9vus dans le\u00a0bail et n\u2019a pu jouir paisiblement du local lou\u00e9.<\/p>\n<p>Selon le juge Mongeon, \u00ab\u00a0les\u00a0inconv\u00e9nients subis par la Demanderesse vont au-del\u00e0 de la compensation qu\u2019elle recevra aux titres de sa perte de profits, de la perte de ses biens meubles et de ses am\u00e9liorations locatives et du remboursement de ses honoraires professionnels \u00bb.<\/p>\n<p>Au final, le tribunal accorde donc \u00e0 la Demanderesse des dommages moraux de 35\u00a0000,00$ pour l\u2019ensemble des troubles et inconv\u00e9nients qu\u2019elle a subis, en sus des autres dommages.<\/p>\n<p><strong>IV\u2013 LE COMMENTAIRE DE L\u2019AUTEUR<\/strong><\/p>\n<p>Les troubles et inconv\u00e9nients sont par d\u00e9finition la pression constante d\u2019\u00eatre interpell\u00e9 en justice, du stress, de l\u2019insomnie, etc.<\/p>\n<p>Ces troubles et inconv\u00e9nients sont des \u00e9motions et des difficult\u00e9s qui sont ressentis par des vraies personnes humaines, non pas par des entit\u00e9s fictives comme des personnes morales.<\/p>\n<p>Ce ne sont donc pas les personnes morales qui souffrent des troubles et inconv\u00e9nients, mais plut\u00f4t leurs repr\u00e9sentants.<\/p>\n<p>Nous ne voyons donc pas comment des personnes morales peuvent \u00eatre indemnis\u00e9es pour des troubles et inconv\u00e9nients dont elles n\u2019ont pas r\u00e9ellement soufferts.<\/p>\n<p>Ce faisant, nous croyons que pour que pour qu\u2019il y ait une compensation pour troubles et inconv\u00e9nients, les repr\u00e9sentants des personnes morales doivent \u00eatre des parties \u00e0 la proc\u00e9dure judiciaire.<\/p>\n<p>Voyons voir ce que la Cour d\u2019appel du Qu\u00e9bec dira sur cette d\u00e9cision, puisque celle-ci a \u00e9t\u00e9 port\u00e9e en appel.<\/p>\n<p>\u00c0 suivre\u2026<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Imaginez ceci, vous
