Quelle joie vous vous dites. Quoi de plus facile qu\u2019\u00eatre propri\u00e9taire d\u2019un immeuble et de louez ses locaux? La r\u00e9ponse vous choquerait. Prenez cette situation comme exemple.<\/p>\n<p style=\"text-align: justify;\">Deux individus, nomm\u00e9s Jean Tricheur et Jeanne Lacheap, viennent vous voir pour louer un local dans l\u2019immeuble dont vous \u00eates le ou la propri\u00e9taire. C\u2019est aux fins de l\u2019exploitation de leur future entreprise qu\u2019ils veulent le local, ce qui ne vous engendre aucun inconv\u00e9nient. Cependant, la soci\u00e9t\u00e9 n\u2019est pas encore incorpor\u00e9e, donc vous faites le Bail aux noms des individus.<\/p>\n<p style=\"text-align: justify;\">Le d\u00e9p\u00f4t est remis, et le tout commence. Aucun probl\u00e8me tel quel, sauf une situation particuli\u00e8re\u2026 presque un an plus tard, aucun loyer n\u2019a \u00e9t\u00e9 pay\u00e9 par M. Tricheur et Mme. Lacheap!<\/p>\n<p style=\"text-align: justify;\">Vous ne le saviez point, mais ces deux individus n\u2019avaient jamais l\u2019intention de payer quelque somme que ce soit pour les lieux lou\u00e9s. En effet, cette lacune d\u2019int\u00e9r\u00eat a \u00e9t\u00e9 provoqu\u00e9e par le fait que leur aventure commerciale a \u00e9t\u00e9 avort\u00e9e et qu\u2019en cons\u00e9quence, l\u2019int\u00e9r\u00eat pour le local \u00e9tait n\u00e9ant.<\/p>\n<p style=\"text-align: justify;\">Vous tentez de contacter les individus, vous \u00eates de bonne foi, vous ne voulez que vous faire payer votre loyer. Malheureusement, aucune coop\u00e9ration de la part de Tricheur ou Lacheap. Que faire?<\/p>\n<p style=\"text-align: justify;\">La r\u00e9ponse n\u2019est pas miraculeuse. Elle requiert beaucoup de temps, d\u2019\u00e9nergie, de stress et d\u2019argent. Mais quelle autre option avez-vous? Aucune, vous devez aller en cours.<\/p>\n<p style=\"text-align: justify;\">Continuons maintenant notre sc\u00e9nario. Le tribunal doit d\u00e9terminer si effectivement la responsabilit\u00e9 personnelle des D\u00e9fendeurs (M. Tricheur et Mme. Lacheap) est engag\u00e9e \u00e0 votre \u00e9gard. La D\u00e9fense pr\u00e9tend qu\u2019elle n\u2019est pas responsable, car leur responsabilit\u00e9 personnelle n\u2019a pas \u00e9t\u00e9 engag\u00e9e puisqu\u2019ils n\u2019ont jamais sign\u00e9 la convention de bail \u00e0 leur nom personnel, mais bien au b\u00e9n\u00e9fice de la compagnie.<\/p>\n<p style=\"text-align: justify;\">Cependant, les individus ont proc\u00e9d\u00e9 \u00e0 l\u2019incorporation de leur soci\u00e9t\u00e9, nomm\u00e9 Mensonges inc., mais pour des raisons que vous-m\u00eame et le Tribunal ignorez, il appert que le Bail n\u2019aurait jamais \u00e9t\u00e9 transf\u00e9r\u00e9 \u00e0 cette soci\u00e9t\u00e9, et ce sans faute de votre part.<\/p>\n<p style=\"text-align: justify;\">Rajoutons m\u00eame que vous avez pris les devants; vous avez envoy\u00e9 les copies de bail aux D\u00e9fendeurs \u00e0 deux reprises et ceci de bonne foi.<\/p>\n<p style=\"text-align: justify;\">En effet, vous avez \u00e9crit un premier projet de Bail entre Mensonges inc. et vous-m\u00eame, incluant qu\u2019\u00e0 d\u00e9faut d\u2019\u00eatre cr\u00e9e ou de transfert, le Bail reste entre vous-m\u00eame et les individus, qui sont tenu solidairement responsables. Vous avez envoy\u00e9 ceci aux D\u00e9fendeurs, qui nient l\u2019avoir re\u00e7u. Par contre, apr\u00e8s v\u00e9rification de leur courrier, il appert qu\u2019effectivement le projet de bail leur a \u00e9t\u00e9 exp\u00e9di\u00e9.<\/p>\n<p style=\"text-align: justify;\">Ayant fait d\u00e9faut de signer ce premier projet de Bail, vous en \u00e9crivez un autre et l\u2019envoy\u00e9 encore une fois. De m\u00eame, les D\u00e9fendeurs ont refus\u00e9 de signer ce projet de Bail puisque leurs responsabilit\u00e9s personnelles \u00e9taient en jeu. Or, l\u2019engagement personnel \u00e9tait pr\u00e9vu d\u00e8s la premi\u00e8re entente.<\/p>\n<p style=\"text-align: justify;\">Heureusement la preuve d\u00e9montre que les D\u00e9fendeurs ont agis de mani\u00e8re imprudente, n\u00e9gligente, voir nonchalante dans leurs relations d\u2019affaires avec vous. Les d\u00e9fendeurs avaient l\u2019obligation de tout faire afin d\u2019effectivement transf\u00e9rer les projets de Bail de leurs noms \u00e0 celui de la soci\u00e9t\u00e9, or il est d\u00e9montr\u00e9 que ce n\u2019est pas le cas. Les D\u00e9fendeurs ont quitt\u00e9 les lieux d\u00e8s qu\u2019une somme d\u2019argent leur fut demand\u00e9e, optant de se faire justice par eux-m\u00eames, sans \u00e9valuer la teneur de leurs actes et gestes. Le Tribunal ne voit pas comment il pourrait \u00e9carter cette responsabilit\u00e9 personnelle.<\/p>\n<p style=\"text-align: justify;\">Vous avez toujours \u00e9t\u00e9 constant dans votre relation avec les D\u00e9fendeurs, et vous avez d\u00e9montr\u00e9 le bien-fond\u00e9 de votre r\u00e9clamation en annulation de Bail et recouvrement de loyer. Les D\u00e9fendeurs sont donc condamn\u00e9s solidairement pour avoir fait d\u00e9faut de relever le fardeau de preuve qui leur incombait.<\/p>\n<p style=\"text-align: justify;\">Enfin c\u2019est r\u00e9gl\u00e9, vous allez recevoir le paiement du loyer et l\u2019annulation du bail. Croyez-vous encore qu\u2019il est facile d\u2019\u00eatre propri\u00e9taire d\u2019immeuble? Ce genre de situation arrive souvent, tr\u00e8s souvent. Avoir un locataire ignorant ou de mauvaise foi peut vous ruiner. C\u2019est pourquoi il est important d\u2019avoir un avocat comp\u00e9tent lors de la r\u00e9daction du bail et lors de votre d\u00e9fense, si n\u00e9cessaire. Cet exemple finit bien, le Bail \u00e9tait bien r\u00e9dig\u00e9.
